TERMS OF SERVICE

These terms of service ("Terms") govern your access to and use of the VanillaVoice SaaS platform, including our API, and any content, materials, or services made available through the platform ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use our Services.

1. Use of Services.
You may use our Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations.

2. Accounts.
In order to access certain features of our Services, you may be required to create an account and provide certain information about yourself. You are responsible for maintaining the accuracy and confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Payments and Refund Policy
For our online sales, we rely on Paddle (https://paddle.com) to act as our Merchant of Record. When you purchase our Monthly Subscription, they handle the checkout process, including payment processing, fraud detection, handling of taxes, and compliance with local laws and regulations. Our paid plans are offered to you for a term of one month ("Monthly Subscription"). Your Monthly Subscription payment entitles you to one month of access to subscription plan selected by you. Under the terms of the Monthly Subscription, you will be charged on the day you activate the service, and automatically charged every calendar month thereafter (at the monthly rate) until you cancel your service. For example, if you activate service on the 10th of a given month, you will be charged on the 10th of all subsequent months. If you cancel service anytime during a Monthly Subscription billing period, service will terminate at the end of that billing period. No refunds, partial or otherwise, will be issued for any used or unused portion of any billing cycle or late cancellations.

4. Content.
You always retain ownership of your content ("text input"). If you input text into the service that belongs to a third party, we require that you have the rights to do so. We may store and use text inputs processed by the service solely to provide and maintain the service and to improve and develop the quality of machine-learning/artificial-intelligence technologies. Use of your content is important for continuous improvement of your customer experience, including the development and training of related technologies. As between you and VanillaVoice, your output ("recordings") belongs to you.

5. Intellectual Property.
Our Services and all content and materials included on or made available through the platform are the property of VanillaVoice or our licensors, and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works from our Services or any content or materials included on or made available through the platform without our express written permission.

6. Disclaimer of Warranties.
Our Services are provided "as is" and "as available" without any warranties of any kind. We do not warrant that our Services will be uninterrupted, error-free, or secure, and we do not make any representations or warranties about the accuracy, reliability, or completeness of any content or materials included on or made available through the platform.

7. Limitation of Liability.
To the maximum extent permitted by law, we and our affiliates, directors, officers, employees, agents, and licensors will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your access to or use of our Services, or any content or materials included on or made available through the platform, even if we have been advised of the possibility of such damages.

8. Indemnification.
You agree to indemnify and hold us and our affiliates, directors, officers, employees, agents, and licensors harmless from any claims, damages, losses, liabilities, costs, and expenses arising out of or in connection with your access to or use of our Services, or any violation of these Terms by you.

9. Termination.
We have the right, in our sole discretion, to terminate or suspend your access to our Services at any time, without notice or liability, for any reason, including if we believe that you have violated these Terms.

10. Changes to Terms
We reserve the right to change these terms at any time. Any changes will be posted on this page, and your continued use of our API or any related services after any such changes have been made will constitute your acceptance of the revised terms.
